These Terms of Service ("Terms") govern your access to and use of the SmoothFlow website, platform, software, tools, automations, integrations, and related services (collectively, the "Services") provided by SmoothFlow ("SmoothFlow," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Authority

You may use the Services only if:

→you are at least 18 years old;

→you are legally capable of entering into a binding agreement; and

→if using the Services on behalf of a business or organization, you have authority to bind that entity to these Terms.

If you accept these Terms on behalf of an entity, "you" means that entity and its authorized users.

2. Services

SmoothFlow provides tools and services that may include:

→websites and landing pages;

→lead intake and management;

→customer communication workflows;

→integrations with third-party services;

→workflow automations;

→reporting and operational dashboards;

→AI-assisted drafting, categorization, and related features;

→onboarding, support, and related professional services.

We may modify, improve, suspend, or discontinue any part of the Services at any time, with or without notice, except where prohibited by law or otherwise required by contract.

3. Accounts

You may need to create an account to use certain Services. You agree to:

→provide accurate, current, and complete information;

→keep your credentials confidential;

→promptly update account information when necessary;

→notify us immediately of unauthorized access or suspected security issues.

You are responsible for activities that occur under your account, except to the extent caused by our breach of these Terms or applicable law.

4. Customer Data and Inputs

You retain ownership of the data, content, messages, files, records, and other materials that you or your authorized users submit to the Services ("Customer Data").

You grant SmoothFlow a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, and otherwise use Customer Data solely as necessary to provide, secure, maintain, improve, and support the Services and as otherwise permitted by these Terms and our Privacy Policy.

You represent and warrant that you have all rights, permissions, and lawful bases necessary for Customer Data to be processed through the Services.

5. Authorized Integrations

The Services may allow you to connect third-party platforms, applications, or services. By enabling an integration, you authorize SmoothFlow to access and exchange information with that third party as necessary to provide the requested functionality, subject to your granted permissions.

Your use of third-party services remains subject to the terms, policies, and rules of those third parties. SmoothFlow is not responsible for third-party services, including their availability, accuracy, security, changes, fees, or policies.

You are solely responsible for ensuring that your use of integrations complies with the applicable rules of the connected platform.

6. AI-Assisted Features

The Services may include AI-assisted features that generate drafts, classifications, summaries, suggested actions, workflow outputs, or other machine-generated content.

You acknowledge and agree that:

→outputs may be inaccurate, incomplete, or unsuitable for a particular purpose;

→outputs should be reviewed before reliance or transmission where appropriate;

→SmoothFlow does not guarantee the factual accuracy, legal sufficiency, or business suitability of generated outputs;

→you remain responsible for the review, approval, and use of outputs.

SmoothFlow is not liable for losses arising from unreviewed, incorrect, or unauthorized reliance on AI-generated content, except to the extent such limitation is prohibited by law.

7. Acceptable Use

You agree not to, and not to permit others to:

→use the Services for unlawful, fraudulent, deceptive, or abusive purposes;

→violate the rights of others;

→send spam or unauthorized marketing communications;

→circumvent or breach security measures;

→interfere with or disrupt the Services or related systems;

→upload malicious code or harmful content;

→reverse engineer, decompile, or attempt to extract source code except where prohibited by law from being restricted;

→use the Services in violation of third-party platform rules or contractual restrictions;

→access or use the Services beyond authorized scopes or permissions.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms, threatens the Services, or creates legal or security risk.

8. SMS Messaging Terms

By checking an SMS consent box or otherwise opting in to SmoothFlow text messaging, you agree to receive recurring automated text messages from SmoothFlow related to product demos, onboarding, appointment reminders, customer support, lead follow-up, and service updates. Consent is not a condition of purchase.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out, and reply HELP for help. You may also contact us at [email protected]. Wireless carriers are not liable for delayed or undelivered messages.

We handle mobile numbers and SMS consent data according to our Privacy Policy, including our commitment not to share mobile opt-in data with third parties or affiliates for marketing or promotional purposes.

9. Fees and Payment

If you purchase paid Services, you agree to pay all applicable fees, taxes, and charges in accordance with the pricing, plan, proposal, or order terms presented to you.

Unless otherwise stated:

→fees are in U.S. dollars;

→fees are non-refundable except as required by law or expressly stated in writing;

→subscription fees may renew automatically unless canceled before the renewal date;

→you authorize us or our payment processor to charge the applicable payment method.

We may suspend paid Services for overdue amounts.

10. Proprietary Rights

SmoothFlow and its licensors retain all right, title, and interest in and to the Services, including all software, designs, workflows, interfaces, documentation, trademarks, and related intellectual property, except for Customer Data and third-party materials.

These Terms do not transfer ownership of any intellectual property rights. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable service term for your internal business purposes.

11. Feedback

If you provide feedback, ideas, or suggestions regarding the Services, you grant SmoothFlow a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback without restriction or obligation to you.

12. Confidentiality

Each party may receive non-public information from the other that is designated confidential or that reasonably should be understood to be confidential ("Confidential Information").

The receiving party will:

→use Confidential Information only as necessary under these Terms;

→protect it with reasonable care;

→not disclose it except to personnel, contractors, or advisors with a need to know and who are bound by confidentiality obligations.

Confidential Information does not include information that is publicly available without breach, already lawfully known, independently developed, or lawfully received from a third party without restriction.

13. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. SMOOTHFLOW DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, SMOOTHFLOW DOES NOT WARRANT THAT:

→THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

→THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;

→OUTPUTS, REPORTS, OR DATA WILL BE ACCURATE OR COMPLETE;

→THIRD-PARTY INTEGRATIONS WILL REMAIN AVAILABLE OR FUNCTIONAL.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMOOTHFLOW AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SMOOTHFLOW FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

→THE AMOUNT PAID BY YOU TO SMOOTHFLOW FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

→ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless SmoothFlow and its affiliates, officers, directors, employees, contractors, and agents from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

→your use of the Services;

→your Customer Data;

→your violation of these Terms;

→your violation of law or third-party rights;

→your use of third-party integrations or connected platforms.

16. Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, immediately or at a later date, if:

→you breach these Terms;

→your use creates legal, operational, or security risk;

→required by law or third-party provider restrictions;

→fees remain unpaid.

You may stop using the Services at any time. Any termination does not relieve you of obligations accrued before termination.

Sections that by their nature should survive termination will survive, including payment obligations, disclaimers, limitations of liability, confidentiality, intellectual property provisions, indemnification, and dispute-related provisions.

17. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws principles, unless otherwise required by applicable law.

18. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in North Carolina, and each party consents to the jurisdiction and venue of those courts, unless otherwise required by applicable law.

If you prefer arbitration instead of court litigation, this section should be revised before publication.

19. Changes to the Services or Terms

We may update these Terms from time to time. The updated version will be posted with a revised "Last Updated" date. Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.

20. General Provisions

→These Terms, together with the Privacy Policy and any applicable order forms or written agreements, constitute the entire agreement between you and SmoothFlow regarding the Services.

→If any provision is held unenforceable, the remaining provisions remain in effect.

→Our failure to enforce a provision is not a waiver.

→You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
